Join Providence St. Joseph Health as our Corporate Counsel and become a key player in shaping healthcare delivery across our dynamic organization. The Role As the Corporate Counsel at Providence St. Joseph Health, you will play a crucial role in delivering legal services and advice under the guidance of the VP, Senior Corporate Counsel. You will exercise independence in addressing complex legal matters and support specific projects. Your responsibilities include providing legal consultation, conducting policy analysis, preparing written guidance for executive teams, and drafting contracts with a focus on physician and vendor agreements. Staying informed on relevant legal developments, you'll ensure timely responses to client needs while upholding high standards of legal support and compliance.

What You'll Do

  • Advise business clients on compliance with key healthcare regulations, including Stark Law, Anti-Kickback Statute, False Claims Act, Medicare and Medicaid billing rules, HIPAA and EMTALA.
  • Draft and review physician agreements, including medical director agreements, on-call agreements, and professional services agreements.
  • Prepare and review business associate agreements, guiding clients on HIPAA compliance and navigating state and federal privacy statutes regulations.
  • Offer strategic, practical legal counsel to executive leadership, enhancing decision-making processes.
  • Develop expertise in healthcare law and share insights within the Department of Legal Affairs (DLA) and beyond, bolstering the organization's legal proficiency.
  • Work closely with VP, Senior Corporate Counsel, and Deputy General Counsel, providing seamless guidance on Providence's legal affairs.
  • Prepare, draft, and review critical legal documents, ensuring compliance with statutes, regulations, and policies.
  • Lead efforts in providing timely legal information and educational materials to Providence operations and ministries, adapting to regulatory/legal changes.
  • Provide legal guidance to Providence's Integrity, Audit, and Compliance Services Department, aiding internal investigations.
  • Collaborate with DLA litigation counsel, advising on litigation management strategies.
  • Stay informed about healthcare issues, continuously enriching your legal knowledge.
  • Efficiently manage outside counsel relationships, setting scopes, budgets, and overseeing services rendered.

What You'll Bring

  • Education: Juris Doctor degree from an accredited law school, or equivalent.
  • Experience: Minimum of 8 years of relevant healthcare legal experience, either in a law firm or in-house experience.
  • Regulatory Expertise (Preferred): Experience with legislative proposals, as well as proposed and final regulations.
  • Bar Admission: Admission to California State Bar required.
  • Communication Excellence: Demonstrated effective written and verbal communication skills; ability to collaborate indirectly with senior leadership and team members.
  • Independent Leader: Proven capability to manage assignments with minimal supervision.
